Terms of Service

These Terms of Service (“Terms”) govern your access to and use of lbesolutions.com and any related services offered by LBE Administrative Solutions LLC (“LBE,” “we,” “our,” or “us”). By accessing our website or engaging our services, you agree to these Terms.
LBE provides executive administration and operational support for organizations and leaders. Information on the website is for general guidance and does not create a client relationship unless and until a written agreement is signed.
By using the site, submitting an inquiry, or engaging our services, you represent that you are at least 18 years old and have authority to bind the organization on whose behalf you interact with LBE. If you do not agree, do not use the site.
Service details—including scope, deliverables, timelines, and fees—are defined in a signed proposal, order form, or statement of work (collectively, "SOW"). If these Terms conflict with an SOW, the SOW controls for that engagement.
- Fees, deposits, billing cycles, and expenses are as stated in the applicable SOW.
- Invoices are due as indicated on the invoice; late amounts may incur a service charge as permitted by law.
- We may suspend or discontinue services for non-payment.
- Provide timely access to information, systems, and stakeholders necessary to perform services;
- Designate a primary point of contact empowered to make decisions;
- Ensure that any materials or data you provide are accurate and lawfully shared.
We treat non-public information received from you as confidential and use it only to deliver services, subject to standard exceptions. If a mutual nondisclosure agreement (NDA) is executed, it will supplement these Terms.
- Your Materials. You retain ownership of your pre-existing materials and data. You grant LBE a limited license to use them to perform the services.
- Work Product. Unless otherwise specified in an SOW, upon full payment you receive a worldwide, royalty-free license to use deliverables for your internal business purposes. LBE retains ownership of methodologies, frameworks, know-how, and pre-existing IP used to create the deliverables.
With your written permission, LBE may reference your organization’s name and non-sensitive project descriptions for portfolio or testimonial purposes. We will not disclose confidential details without consent.
You agree not to misuse the site or services, including by attempting unauthorized access, interfering with security, or using the site in violation of applicable law.
We may reference or integrate third-party platforms (e.g., payments, scheduling, analytics). Their terms and policies govern your use of those tools.
The site is provided "as is" and "as available" without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
To the fullest extent permitted by law, LBE will not be liable for indirect, incidental, special, consequential, or exemplary damages. Our total liability for any claim arising out of or relating to the site or services will not exceed the amounts paid by you to LBE in the twelve (12) months preceding the event giving rise to the claim.
You agree to defend, indemnify, and hold harmless LBE and our officers, directors, and personnel from and against any claims, damages, liabilities, and expenses arising from your misuse of the site or violation of these Terms.
We may suspend or terminate access to the site at any time. Either party may terminate services as outlined in the applicable SOW. Sections intended to survive termination will do so.
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Any dispute will be resolved in state or federal courts located in North Carolina, and you consent to their jurisdiction and venue. Before filing a claim, the parties will make good-faith efforts to resolve disputes informally within thirty (30) days.
We may update these Terms from time to time. The updated version will be indicated by a revised Effective Date and will be effective when posted.
